ARTICLES OF ASSOCIATIONOFNIGERIAN ASSOCIATION FOR EDUCATIONALADMINISTRATION AND PLANNING (NAEAP)
THE CONSTITUTION
I. NAME: The Association shall be known and called the Nigerian Association for Educational Administration and Planning (NAEAP) II. OBJECTIVES: 1. To foster a high standard in the study and practice of educational administration and planning at all levels. 2. To facilitate the dissemination of knowledge about research and practice in educational administration and planning through the publication of journals, newsletters and conference proceedings. 3. To foster high standards in the preparation of educational administrators and planners with a view to promoting professionalism in the discipline. 4. To facilitate the exchange of teachers, students and practitioners of educational administration and planning among institutions in the country. 5. To foster close links among those concerned with the improvement of educational administration and planning in Nigeria and other countries. 6. To hold national conferences, workshops and seminars in educational administration and planning and to participate in same at regional and international levels. 7. To encourage the establishment of local branches of the Association in Nigeria. 8. To promote greater collaboration between the Ministries of Education, School Boards, Teaching Service Commission and others involved in the planning and administration of education on the one hand and the higher institutions of learning involved in research, teaching and practice of educational administration and planning on the other.
ARTICLES OF ASSOCIATION OF NIGERIAN ASSOCIATION FOR EDUCATIONAL ADMINISTRATION AND PLANNING 1. In these Articles unless there be something in the subject or context inconsistent therewith:- “The Association” means the above named Association. “The Decree” means the Companies Decree 1968 of the Laws of the Federal Republic of Nigeria. “The Executive Committee” means the National Executive Committee for the time being of the Association. “These Articles” means these Articles of Association or Regulations of the Association for the time being in force. “Month” means calendar month. “Office” means the Registered office of the Association. “Seal” means the Common Seal of the Association. “In writing” means written or printed, partly written or partly printed. Words importing the singular number only include the plural number and vice versa. Words importing the masculine gender only include the feminine gender. 1a Table “A” is hereby excluded.
2. MEMBERSHIP There shall be five types of membership including the subscribers to the Memorandum of Association of the Association. a. Institutional Membership This consists of Universities, Colleges of Education, Faculties of Education, Universities’ Institutes of Education, Polytechnics, Colleges of Technology, Advanced Teachers’ Colleges, Ministries of Education, Teachers’ Service Commissions, State School Boards, and similar bodies which train and utilize the service of educational planners and administrators. b. Organizational Membership This consists of such organizations as Conference of Secondary School Principals, Primary School Headmasters, Professional Organizations of Educational Administrators and Planners. c. Individual Membership This consists of specialists, researchers and practitioners in educational administration and planning d. Associate Membership This is made up of students of educational administration and planning in higher institutions of learning in Nigeria and abroad. e. Branch membership This consists of recognized state branches. A minimum of ten members shall be necessary before a Branch is formed.
3. ADMISSION OF MEMBERS a. Each State Branch shall have a Coordinator elected by the members of the Branch. b. Application for membership shall be sent to the State Coordinator who shall process and present it to the Executive Committee. c. Members shall have membership cards.
4. RIGHTS AND DUTIES OF MEMBERS a. All accredited members shall be entitled to benefits and privileges as determined by the Association from time to time. b. The Association shall hold an Annual Conference to address issues of National concern in Education. c. The following categories of membership dues shall be paid: i. Institutional # 5,000 ii. Branch # 5,000 iii. Individual # 1,000 iv. Associate # 500 v. Organisational # 5,000.
d. Annual Subscription i) Institutional # 2000 ii) Branch # 2000 iii) Individual # 1000 iv) Associate # 500 v) Organisational # 2000
e. These dues and subscriptions are subject to review from time to time as recommended by the Executive Committee and approved by the Annual General Meeting. f. Membership dues are payable once, while the Annual Subscription shall be paid once in a year. g. The Association’s year means calendar year. h. Apart from the Annual Dues, the Association shall levy other fees such as Registration fees for conferences, seminars, workshops, etc as it sees appropriate. i. Each Branch shall remit 60% of the Membership dues and Annual Subscriptions to the NAEAP.
5. TERMINATION OF MEMBERSHIP a. Failure to Pay Dues/Subscription Any member who is in arrears of dues for two consecutive fiscal years without cause shall automatically cease to be a member of the Association. At his request accompanied with the payment of all outstanding dues, a member whose membership has been automatically terminated for non-payment of dues may be reinstated by the Executive Committee. b. Removal for Cause If the continued membership of any person is believed to be contrary to the interests, purposes or ethical standards of the Association, the matter shall be referred to the Executive Committee for determination.
6. MEETINGS The following meetings shall be held: a. There shall be an Annual Convention of the Association whose functions shall be: i. to deliberate on matters of policy, issues of professional and national interest referred to it by the Executive Committee. ii. to refer matters to the Executive Committee and can initiate action on issues and matters of interest to the Association. b. The Executive Committee shall meet at least twice a year. c. Individual members shall attend the Annual Meetings and Conventions.
7. QUORUM For any meeting of the Association, be it Executive Committee or the Annual Convention, one-third of financial members shall form the quorum. 8. VOTING Members who are financially up-to-date shall be eligible to vote or be voted for. 9. OFFICERS The following shall be the officers of the Association i. President: shall preside at general meetings and Executive Committee meetings, and who shall assume such further duties as may be assigned by the Association ii. Vice-President: shall, in the absence of the President, preside at General Meetings and Executive Committee meetings, and who shall assume such further duties as may be assigned by the Association iii. Immediate Past President: shall serve as a link between the past and present Executive for purposes of continuity, and who shall assume such further duties as may be assigned by the Association iv. Secretary: shall run the affairs of the Association, give notice of meetings and take minutes in all meetings v. Assistant Secretary: shall assist the Secretary in his duties and perform the duties of the Secretary when the latter is absent vi. Financial Secretary: shall collect all revenues of the Association, keep all financial records of such monies and submit such monies to the Treasurer for banking as soon as possible thereafter but not later than five days after receipt. The Financial Secretary shall also prepare up -to -date financial report for presentation to the Executive Committee and subsequently to the Annual General Meeting. vii. Treasurer: shall receive all monies of the Association from the Financial Secretary and bank same in the Association’s Bank Account as soon as possible but not later than five days from the date of receipt. The Treasurer shall prepare an up- to -date Statement of Account of the Association for presentation to the Executive Committee and subsequently to the Annual General Meeting. viii. Public Relations Officer: shall publicise all the activities of the Association ix. Auditor: shall audit the accounts of the Association annually and present the same to the Association at its Annual Convention x. Editor – in- Chief: shall coordinate the publication activities of the Association including the Books of Readings, Journals and Newsletters. He shall preside over the Research, Development and Publications Committee xi. Two Ex- Officio members
10. COMMITTEES OF THE ASSOCIATION
(a) Executive Committee The Executive Committee shall consist of the National President, the National Vice – President, the National Secretary, Assistant National Secretary, the National Financial Secretary, the National Treasurer, the National Public Relations Officer, Editor-in-Chief, the Immediate Past National President and two Ex-Officio members elected at the Annual General Meeting.
The functions of the Executive Committee shall include:
(i) the day to day running of the affairs of the Association.
(ii) encouraging and improving upon the relations between NAEAP and national, international associations/agencies.
(iii) any other functions assigned to it by the Association (b) Research, Development and Publications Committee Members shall consist of the Editor-in-Chief, National Public Relations Officer, the two Ex-Officio members and the Chairman of the Local Organising Committee.
Its duties shall be: (i) to encourage research in the field of educational administration and planning. (ii) to publish Journals, Year-books, Newsletters, Periodicals, and other documents of the Association. (iii) study and propose guidelines on topics of professional interest to the Association.
(c) Ad Hoc Committees
Which the Association through the Executive Committee may wish to set up from time to time as the need arises.
11. TENURE
Officers of the Association shall hold office for the period of two years in the first instance and shall be eligible for re-election for only one more term but not so eligible after the second term of office until after another two years shall have elapsed since their second term of office.
12. FUNDS OF THE ASSOCIATION
The funds of the Association shall consist of a. membership dues, annual dues, conference fees, levies and other fees as may be determined at the Annual General Meeting. b. grants and donations from members and other interested parties in order to help the Association carry out its programmes and achieve its objectives. c. revenues from the sale of the Association’s publications.
13. BANKING AND CONTROL
i. The Executive Committee shall be empowered to appoint Bankers for the Association.
ii. All Association’s monies shall be banked with the Association’s Banker within five days of collecting or receiving such monies.
iii. The Signatories to the Association’s Bank Account shall be the National President, the National Treasurer and the National Secretary. Any two of these officers shall be required to sign a Cheque for it to be validly issued.
iv. The financial records of the Association shall be audited annually.
14. NOTICE OF MEETINGS
Announcements of date, time and place of any Annual Convention of the Association shall be made as far ahead as is reasonably possible. In any case, notice shall be sent to members at least six weeks in advance.
15. INDEMNITY
Every member of the Executive Committee and every officer of the Association and any person employed by the Association as Auditor shall if the Executive Committee so determine be indemnified out of the funds of the Association against all liability incurred by him as such member, officer or Auditor in defending any proceedings, whether civil or criminal in which judgement is given in his favour or in which he is acquitted, or in connection with any application under section 338 of the Decree in which relief is granted to him by the Court.
16. DISSOLUTION
Clause 9 of the Memorandum of Association relating to the winding-up and dissolution of the Association shall have effect as if the provision there were repeated in these Articles.
17. ALTERATION OF ARTICLES
Subject to the provisions of Clause 5 of the Memorandum of Association, no amendment, alteration or addition shall be made to or in the Articles of Association for the time being in force except at the Annual General Meeting or at a General Meeting specially convened for that purpose and in the following manner:
i. a two-thirds majority vote in favour of the alteration
ii. a prior notice of the alteration must have been circulated to members not less than one month before the general meeting at which such an alteration is to be tabled.
